Terms of Service

1. About these terms
These terms are an agreement between you and [Operator’s legal name] (tax ID [Tax ID], [Registered address]), which runs Paydue (“Paydue”, “we”). They cover the Paydue iPhone app, the invoice and payment pages your clients open, and this website (together, the “Service”). By creating an account or using the Service you accept them. If you use Paydue for a company, you accept them on its behalf and confirm you’re allowed to.
2. Who can use Paydue
Paydue is for businesses: freelancers, sole traders, and companies billing their clients. You must be at least 18 and able to enter a contract. Don’t use Paydue as a consumer for personal, non-business purposes.
3. Your account
You sign in with Apple. Each account is one business. Keep your iPhone and Apple ID secure; you’re responsible for what happens in your account. Tell us at support@paydueapp.com if you think someone else has access.
4. What Paydue does, and what stays your responsibility
Paydue helps you create and send invoices, estimates, and receipts; take payments online through Stripe; send reminders; record expenses; and export your records. Paydue is a tool, not an accountant, tax adviser, or lawyer.
- You decide what goes on your documents: prices, tax rates, dates, your and your client’s details. Check them before you issue.
- Whether your invoices meet the rules where you and your clients are (content, numbering, e-invoicing, record keeping) is your responsibility. Paydue doesn’t claim any document meets a particular country’s rules.
- Anything Paydue suggests (a total read from a receipt photo, a saved price) is a suggestion. You confirm it.
- Keep your own copy of the records you’re required to keep. The export in More › Export for your accountant is there for that.
5. Issued documents
Once issued, an invoice can’t be edited: that keeps your records trustworthy. Invoice numbers are assigned in order when you issue. Correct a mistake the way your rules require, for example with a new invoice.
6. Your content
What you put into Paydue stays yours: your documents, clients, items, expenses, and photos. You give us permission to store, process, display, and send it only as needed to run the Service for you (for example, emailing an invoice or showing it on its payment page). You confirm you have the right to use it and to share your clients’ details with us for this.
For your clients’ personal data, you’re the controller and we process it on your behalf, as described in our Privacy Policy. A data processing agreement is available on request.
7. Emails sent for you
Paydue emails your documents and reminders to your clients from our domain, showing your business name, with replies going to the email in your business details. Only send to people you do business with, and only about your documents. We limit how many emails an account can send and may pause sending if emails bounce or are reported as spam.
8. Online payments
Online payments go through Stripe. To accept them you open a Stripe account, and Stripe’s own terms (including its Connected Account Agreement) apply between you and Stripe. Payments go to your Stripe account; Paydue never holds your money. Stripe’s fees, and any Paydue fee shown before you accept payment terms in the app, apply. Refunds, disputes, and payouts are handled under Stripe’s terms.
9. Paydue Pro
Some features need a Paydue Pro subscription, bought through Apple’s App Store. Apple bills it and renews it automatically at the end of each period unless you turn off auto-renew at least 24 hours before. Manage or cancel it in your Apple ID settings. Apple handles refunds under its own policies. Prices are shown in the app before you buy; if we change them, Apple tells you before the change applies. Deleting your Paydue account doesn’t cancel the subscription.
10. Acceptable use
Don’t use Paydue to break the law, to deceive or defraud anyone, to send spam or phishing, to bill for things you don’t provide, to infringe others’ rights, or to probe, overload, or get around the security of the Service. Don’t copy, resell, or reverse engineer the app except where the law allows.
11. Availability and changes
We work to keep Paydue available and your data safe, but we can’t promise it will always be available or free of errors. We may change, add, or remove features. If a change takes away something you pay for, we’ll tell you in advance where we can.
12. Ending your use
You can stop using Paydue at any time and delete your account in the app (More › Account › Delete account). Deletion is immediate and permanent: your business’s documents, clients, expenses, files, and sign-in are erased, and links you’ve sent stop working. Export your records first.
We may suspend or close an account that breaks these terms, puts others at risk, or is required to be closed by law. Unless the reason makes it inappropriate, we’ll tell you first and give you a chance to export your records.
13. Our property
The app, the website, and the Paydue name and design belong to us or our licensors. We give you a personal, non-transferable right to use the app on devices you own or control while you have an account.
14. Feedback
If you send ideas or suggestions, we may use them without obligation to you.
15. Disclaimer
Except as these terms say, the Service is provided “as is”. To the extent the law allows, we don’t give other warranties, for example that it fits a particular purpose or that documents meet a particular country’s rules.
16. Liability
To the extent the law allows, we aren’t liable for indirect or consequential losses, such as lost profits, lost business, or lost data you could have exported, and our total liability for any claims relating to the Service is limited to the greater of what you paid for Paydue in the 12 months before the claim and 100 euros. Nothing in these terms limits liability that can’t be limited by law, such as for fraud or gross negligence.
17. Indemnity
If someone makes a claim against us because of your documents, your content, or your breach of these terms, you’ll cover our reasonable costs of that claim, to the extent the law allows.
18. Changes to these terms
We may update these terms. For important changes we’ll tell you in the app or by email before they apply. If you keep using Paydue after that, the new terms apply; if you don’t agree, you can delete your account.
19. Law and courts
These terms are governed by the law of Spain. Disputes go to the courts of [City], unless the law gives you the right to go to others.
20. General
If part of these terms can’t be enforced, the rest still applies. Not enforcing a right isn’t giving it up. You can’t transfer your account or these terms without our consent; we may transfer them with our business. Notices to you may be sent in the app or by email.
